SECTION 4. REPRESENTATIONS AND WARRANTIES 4.1 Each Party represents and warrants that it has full corporate power and authority to execute and deliver this Agreement and to perform its obligations hereunder, and that such execution has been duly authorized by all necessary action. 4.2 Provider warrants that the Services shall be performed in a professional and workmanlike manner consistent with generally accepted industry standards, and that the Deliverables shall conform in all material respects to the specifications set forth in Exhibit A. 4.3 EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 4, THE SERVICES AND DELIVERABLES ARE PROVIDED "AS IS," AND EACH PARTY DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 4.4 Neither Party shall be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to this Agreement, regardless of the form of action, whether in contract, tort, or otherwise.
